Please read these terms carefully. They constitute a legally binding agreement between you and Itmad Certification Services LLC. By accessing or using the platform in any capacity, you confirm that you have read, understood, and agree to be bound by these terms in their entirety. If you do not agree, you must immediately cease all use of the platform and its services.

1. Definitions

In these Terms, unless the context otherwise requires, the following definitions apply:

“Itmad Certification Services LLC,” “we,” “us,” “Itmad Academy,” or “our” refers to Itmad Certification Services LLC, a professional training and development institution registered and operating in Abu Dhabi, United Arab Emirates.

“Platform” means the Itmad Certification Services LLC website, mobile applications, learning management systems, APIs, digital portals, and any other technology-enabled interface through which Training Services are delivered, whether currently existing or developed in the future.

“Store” means the marketplace where the course order is placed.

“Services” means all educational courses, training programs, assessments, certifications, coaching, materials, and any other offerings made available by Itmad Certification Services LLC through the Platform.

“User,” “you,” or “your” refers to any individual or legal entity that accesses, registers for, or uses the Platform in any capacity, including as a Learner or Instructor.

“Learner” means any User who accesses or enrolls in a course, program, or Service through the Platform for the purpose of education or professional development.

“Instructor” means any individual or entity who creates, publishes, or delivers educational content or coaching through the Platform.

“Content” means all text, audio, video, images, documents, assessments, course materials, and other materials made available through the Platform, whether created by Itmad Certification Services LLC, Instructors, or Users.

“Exemplar Global” refers to the internationally recognized certification and personnel credentialing body that has approved Itmad Certification Services LLC as an Authorized Training Provider (ATP).

“PECB” refers to the Professional Evaluation and Certification Board, an international certification body with which Itmad Certification Services LLC holds an authorized training partnership, offering PECB-certified courses and examinations through the Platform.

“Third-Party Services” means any external platforms, tools, software, APIs, payment gateways, analytics providers, communication platforms, cloud infrastructure, or other services operated by parties other than Itmad Certification Services LLC that are integrated with, linked to, or accessible through the Platform.

“Applicable Law” means the laws, regulations, decrees, and directives of the United Arab Emirates and the Emirate of Abu Dhabi, as applicable to the parties and the subject matter of these Terms.

2. Acceptance of Terms

By accessing or using the Platform in any manner — including by browsing, creating an account, enrolling in a course, submitting content, or completing a purchase — you enter into a legally binding agreement with Itmad Certification Services LLC governed by these Terms, together with our Privacy Policy, Intellectual Property Policy, Refund Policy, and any other policies referenced herein, all of which are incorporated by reference and form part of this agreement.

If you access or use the Platform on behalf of a company, organization, government body, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms. In such cases, references to “you” shall include both you as an individual and the entity you represent.

Where any translated version of these Terms is made available for convenience, the English language version shall prevail in all cases of conflict or inconsistency.

2.1 Accessibility Policy

At Itmad, our mission is to increase access to high-quality education for everyone, everywhere – including learners with disabilities. We seek to understand and respect the unique needs and perspectives of the Itmad global community, and we value every learner. Accordingly, we are committed to ensuring that www.itmadacademy.com is accessible to individuals with disabilities and that our platform permits content providers to develop and post accessible content. To meet this goal, we are committed to the following:

We aim to conform www.itmadacademy.com with the Web Content Accessibility Guidelines (“WCAG “) 2.1 AA, published by the World Wide Web Consortium, and provide course authoring tools that permit content providers to post course content that conforms with WCAG 2.1 AA. We verify conformance through a combination of manual code inspection, automated testing using industry-recognized tools, compatibility testing using the most widely used accessibility support tools and, from time to time, review by an independent website accessibility consultant.

We prioritize accessibility bug fixes to ensure they are remedied with the same level of priority as any other equivalent loss of function for individuals without disabilities.

We link to this policy from the www.itmad.ae and distribute it to content providers and relevant Itmad employees and contractors.

We welcome accessibility-related feedback, including requests for accommodation, through the [[email protected]] inbox, which is managed by a knowledgeable Itmad support team.

3. Eligibility & Account Registration

3.1 Age Requirements

Use of the Platform is restricted to individuals aged sixteen (16) years or older. By registering, you represent and warrant that you meet this minimum age requirement. Itmad Certification Services LLC reserves the right to terminate any account held by a person below this age, without prior notice or liability, and any enrollment or transaction made in violation of this requirement shall be void.

3.2 Account Creation & Security

To access most features of the Platform, you must create an account. In doing so, you agree to:

(a) provide accurate, current, and complete registration information, including a valid email address, and promptly update such information if it changes;

(b) maintain the confidentiality and security of your account credentials and not disclose your password to any third party under any circumstances;

(c) accept full and exclusive responsibility for all activity that occurs under your account, whether or not authorized by you;

(d) notify Itmad Certification Services LLC immediately at the contact details set out in Section 20 upon becoming aware of any unauthorized access to, or suspected security breach of, your account; and

(e) refrain from transferring, assigning, selling, sublicensing, or sharing your account with any other person or entity.

Itmad Certification Services LLC will not be liable for any loss, damage, or expense arising from your failure to maintain account security. In the event of a User’s death, the User’s account shall be permanently closed, if reported to us.

3.3 Account Suspension & Termination by Itmad Certification Services LLC

Itmad Certification Services LLC reserves the right to suspend, restrict, or permanently terminate your account and access to the Platform at any time, with or without notice, for any reason it deems appropriate in its sole discretion, including but not limited to:

(a) any breach of these Terms or any applicable policy;

(b) failure to pay fees when due;

(d) submission of false or misleading information during registration;

(e) receipt of a valid legal order, request from law enforcement, or regulatory direction; or

(f) extended periods of account inactivity.

Upon termination, your license to access the Platform shall immediately cease. Itmad Certification Services LLC shall have no liability to you or any third party for the termination of your account, removal of your content, or restriction of your access to the Platform.

3.4 Account Closure by User

You may close your account at any time by submitting a written request to Itmad Certification Services LLC at the contact details in Section 20. Account closure does not entitle you to a refund of fees already paid, as expressly provided in Section 6. Please refer to our Privacy Policy for details on how your personal data is handled upon account closure.

4. Platform Access & License

Subject to your compliance with these Terms, Itmad Certification Services LLC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for your personal, non-commercial, educational purposes.

This license does not permit you to:

(a) access, tamper with, or use non-public areas of the Platform, its underlying infrastructure, or the technical delivery systems of Itmad Certification Services LLC’s service providers;

(b) probe, scan, or test the vulnerability of any Itmad Certification Services LLC system, or attempt to circumvent any security or authentication measure;

(c) copy, modify, reverse engineer, disassemble, decompile, or attempt to derive the source code of any portion of the Platform or its content;

(d) use any automated means — including bots, scrapers, crawlers, or spiders — to access, collect data from, or otherwise interact with the Platform, except where expressly permitted through official API terms;

(e) resell, sublicense, commercially exploit, or distribute access to the Platform or any content derived from it;

(f) transmit any virus, malware, or other malicious code, or take any action that may overload, damage, or impair the Platform or its infrastructure; or

(g) use the Platform in any manner that violates Applicable Law or the rights of any third party.

Itmad Certification Services LLC reserves all rights not expressly granted to you under these Terms. Any unauthorized use of the Platform constitutes a material breach of these Terms and may result in immediate termination of your account and legal action.

5. Course Enrollment, Access & Certification

5.1 Enrollment & License to Content

When you enroll in a course or program through the Platform, Itmad Certification Services LLC grants you a limited, non-exclusive, non-transferable license to access and view the enrolled content through the Platform, solely for your personal, non-commercial, educational purposes. Content is licensed to you — not sold. This license does not grant you any right to:

(a) download, reproduce, redistribute, broadcast, transmit, or commercially exploit the content in any form or medium;

(b) share, resell, or sublicense your enrollment or access credentials to any third party; or

5.2 Access Duration

“Unless otherwise explicitly stated at the time of enrollment (such as lifetime access offers), standard course access is provided for up to twelve (12) months from the date of purchase. Itmad Certification Services LLC reserves the right to remove, modify, or restrict access to any content at any time and at its sole discretion, including for legal, policy, intellectual property, or operational reasons, without liability to you.”

5.3 Certification

Itmad Certification Services LLC is an Exemplar Global Approved Training Provider (ATP). Certificates issued upon successful completion of eligible courses are accredited and recognized by Exemplar Global, an internationally acknowledged certification and personnel credentialing body.

Itmad Certification Services LLC is also an authorized training partner of PECB (Professional Evaluation and Certification Board), offering PECB-certified courses whose certifications carry independent international standing.

Notwithstanding the foregoing, Itmad Certification Services LLC does not warrant, guarantee, or represent that:

(a) any certificate, credential, or qualification — other than those expressly issued or co-badged under the authority of Exemplar Global or PECB — will be recognized, accepted, or accredited by any employer, educational institution, licensing body, professional association, regulatory authority, or other third party in any jurisdiction. The scope and validity of Exemplar Global and PECB recognition is governed exclusively by those bodies’ own policies and accreditation frameworks, which are subject to change by those organizations independently and outside Itmad Certification Services LLC’s control;

(b) completion of any course or program — whether Exemplar Global-accredited, PECB-certified, or otherwise — will result in employment, career advancement, salary increase, promotion, admission to further education, or any other professional or personal outcome; or

(c) the skills or competencies acquired through the Platform will satisfy the requirements of any particular role, industry standard, or regulatory framework beyond the scope of the applicable Exemplar Global or PECB qualification criteria.

Learners are solely responsible for verifying the recognition and applicability of any credential in their respective jurisdiction, profession, or regulatory environment prior to enrollment.

5.4 Exam Vouchers

Where Itmad Certification Services LLC offers exam vouchers for purchase or as part of a program, the following terms apply:

(a) All exam voucher purchases are final. Exam vouchers are non-refundable, non-returnable, non-exchangeable, and non-transferable, except as required by Applicable Law.

(b) Exam vouchers are valid only for the specific examination and provider stated at the time of purchase, within the validity period specified, and may only be available in certain jurisdictions.

(c) Failure to schedule or sit for the examination before the voucher expiration date shall result in the forfeiture of the voucher and the associated fee, with no refund, replacement, or extension.

(d) Itmad Certification Services LLC does not control the administration, scheduling, content, or outcome of any examination conducted by a third-party certification provider. If a provider retires an examination before the voucher expiry, Itmad Certification Services LLC shall not be obligated to provide a refund or replacement.

(e) Itmad Certification Services LLC may void any voucher obtained fraudulently, resold in violation of these Terms, or otherwise misused. Violations may also result in the certification provider invalidating exam results.

5.5 Assessments, Exam Passing & Retake Policy

5.1.1 Passing Requirements

To successfully complete a course, Learners must meet the minimum passing score and requirements defined for the respective course.

5.1.2 Attempts & Timing

Each Learner is permitted a maximum of one (1) initial attempt and two (2) re-attempts for any quiz or exam. In the event of an unsuccessful attempt, a mandatory waiting period of thirty (30) minutes is required before the next attempt can be made.

5.1.3 Course Repurchase

If a Learner fails all permitted attempts, they will be required to repurchase the course at forty percent (40%) of the original course fee to regain access and take the exam again. Upon re-enrollment, the Learner may continue from their previous progress, subject to the standard 12-month access duration.

5.1.4 Active Access Period

All exam attempts must be completed within the active course access period. Expired access will result in the loss of eligibility to attempt or complete the examination unless the course access is renewed.

5.1.5 No Guarantees or Refunds

Itmad Certification Services LLC does not guarantee the successful completion or passing of any examination. No refunds, credits, or compensation will be provided in the event of examination failure. Any form of cheating or violation of exam rules may result in immediate disqualification without refund and permanent restriction from the Platform.

5.6 Data Retention, Certificate Downloads, and Platform Changes

It is the Learner’s strict responsibility to download and securely save their E-Certificates and any downloadable course materials immediately upon course completion.

5.6.1 3-Month Retention Limit

Itmad Certification Services LLC does not provide lifetime hosting of your data. We will only retain Learner progress, platform accounts, and hosted E-Certificates on our active learning system for a maximum period of three (3) months following either your course completion date or the expiration of your active access period, whichever occurs first.

5.6.2 Right to Delete & Platform Migration

We reserve the right to delete Learner data, progress, and credentials at any time after this 3-month period. In the event of a system upgrade or migration to a new learning platform, legacy data and old certificates will not be transferred.

5.6.3 Manual Verification

If your digital certificate is no longer hosted on our platform due to the above retention limits, third parties or employers may still verify the authenticity of an ITMAD certificate by submitting a formal verification request via email to our support team.

6. Payments, Fees & Refund Policy

6.1 Pricing

All fees for courses, programs, and other Services are displayed on the Platform at the time of purchase and are denominated in UAE Dirhams (AED) or such other currency as specified. Prices are exclusive of applicable VAT where required under UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax and its amendments, however, in checkout page the vat is added. Itmad Certification Services LLC reserves the right to modify pricing at any time without notice. The price applicable to your purchase is the price confirmed at the time of checkout.

6.2 Payment Authorization

By completing a purchase, you authorize Itmad Certification Services LLC or its designated payment processor to charge your chosen payment method for the applicable fees. You represent and warrant that:

(a) you are authorized to use the payment method provided;

(b) the payment information you provide is accurate and complete; and

Itmad Certification Services LLC works with third-party payment processors to facilitate transactions. Your payment data is subject to those processors’ terms and security practices. Itmad Certification Services LLC does not store full payment card details.

6.3 Refund Policy

6.3.1 Strict No Refund Policy

All course purchases made through Itmad Academy are strictly final and non-refundable. Because digital access and materials are procured upon purchase, we do not offer refunds, partial refunds, or course cancellations under any circumstances, subject only to the specific exceptions outlined below.

6.3.2 Course Switching (Pre-Enrollment Only)

We process course enrollments manually on our learning platform following order and payment confirmation. If a Learner purchases a course by mistake, they may request to switch their purchase to a different course of equal value.

This request must be submitted in writing to the contact details in Section 20 strictly before the manual enrollment on the learning platform has been completed.

Once the Learner has been enrolled in the learning platform, the course cannot be changed, switched, or refunded under any circumstances.

6.3.3 Exceptional Refunds (Service Unavailability)

Refunds will only be processed in the rare event of a disaster, prolonged technical failure, or complete unavailability of the purchased course originating solely from Itmad Certification Services LLC’s side, which renders us unable to deliver the purchased services.

6.3.4 Non-Refundable Items

For the avoidance of doubt, the following purchases are entirely non-refundable and non-transferable under any circumstances:

(a) exam vouchers (see Section 5.4);

(b) coaching or live session bookings;

(d) subscription-based access plans; and

(e) any course or program where the manual enrollment process has already been completed on our learning platform.

Itmad Certification Services LLC reserves the right to decline any switch or refund request if it reasonably believes the policy is being abused, including where a Learner has made repeated requests or has sought to circumvent our manual enrollment and access restrictions.

6.4 Promotional Codes & Credits

Where Itmad Certification Services LLC issues promotional codes or platform credits, such codes and credits are personal to the recipient, non-transferable, non-exchangeable for cash, and subject to any expiry date or conditions stated at the time of issuance. Itmad Certification Services LLC reserves the right to revoke promotional codes or credits that are used in breach of their stated terms. Eligibility for these offers is determined at Itmad Certification Services LLC’s sole discretion. Offers may be revoked if you are deemed ineligible. Itmad Certification Services LLC may consider factors such as your payment method or account history to determine eligibility. Limitations and terms will be disclosed at the time the offer is presented.

7. Content & Behavioral Standards

7.1 General Use Standards

You may only use the Platform for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct on the Platform and for all content you submit, post, or otherwise make available. By using the Platform, you agree not to:

(a) post, upload, or transmit any content that infringes the intellectual property, privacy, or other rights of any person;

(b) engage in any conduct that is unlawful, fraudulent, defamatory, abusive, threatening, harassing, discriminatory, or otherwise objectionable;

(d) upload or distribute viruses, malware, or any other harmful code;

(e) engage in unauthorized data collection, including scraping learner data, instructor information, or any other Platform content;

(f) use the Platform for any commercial purpose not expressly authorized in writing by Itmad Certification Services LLC; or

(g) attempt to gain unauthorized access to any account, system, or network connected to the Platform.

7.2 Instructor Responsibilities

Instructors who publish content on the Platform represent and warrant that:

(a) all content submitted is original or properly licensed, and does not infringe any third-party intellectual property rights;

(b) the content complies with all Applicable Law and Itmad Certification Services LLC’s content policies;

(d) they will promptly notify Itmad Certification Services LLC upon becoming aware of any intellectual property claim or legal dispute relating to their content.

7.3 Enforcement

Itmad Certification Services LLC reserves the right — at its sole discretion and without prior notice — to remove, suspend, or restrict access to any content or account that it reasonably believes violates these Terms, applicable policies, or Applicable Law. Itmad Certification Services LLC’s enforcement decisions are final, subject only to a right of written appeal submitted within fourteen (14) calendar days.

8. Itmad Certification Services LLC’s Rights to User-Submitted Content

You retain ownership of any original content you post or submit to the Platform. By submitting content, you grant Itmad Certification Services LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, adapt, publish, translate, distribute, display, and promote such content across any media and platform, in connection with the operation, marketing, and improvement of Itmad Certification Services LLC’s Services.

You represent and warrant that you hold all rights necessary to grant this license, and that your content does not violate any third-party rights or Applicable Law. You also waive any moral rights in the content to the extent permitted by Applicable Law.

Itmad Certification Services LLC does not claim ownership of your content by virtue of this license, and you may remove your content from the Platform at any time, subject to any restrictions arising from enrolled Learner access or ongoing contractual obligations.

9. Third-Party Services & Tools

9.1 Overview

The Platform integrates, embeds, or otherwise interfaces with Third-Party Services — including but not limited to payment processors, video hosting platforms, learning management systems, communication tools, cloud infrastructure providers, analytics platforms, identity verification services, and webinar or conferencing tools. These Third-Party Services are operated, maintained, and controlled exclusively by their respective providers. Itmad Certification Services LLC exercises no ownership, editorial control, or supervisory authority over any Third-Party Service.

9.2 Data Handling by Third Parties

Itmad Certification Services LLC expressly disclaims all liability for the collection, storage, processing, sharing, transfer, disclosure, breach, or misuse of your personal data or any other information by any Third-Party Service. Each Third-Party Service operates under its own privacy policy and terms of service, which exclusively govern its data practices. You are solely responsible for reviewing, understanding, and accepting those terms before using any Third-Party Service accessible through or in connection with the Platform.

9.3 Service Performance & Availability

Itmad Certification Services LLC does not warrant or represent that any Third-Party Service will be available, error-free, secure, or fit for any particular purpose. Itmad Certification Services LLC bears no responsibility or liability for:

(a) any malfunction, outage, security breach, defect, or degraded performance of any Third-Party Service;

(b) any loss, corruption, or unauthorized disclosure of data occurring within a Third-Party Service’s infrastructure;

(c) any modification, suspension, or permanent discontinuation of a Third-Party Service that affects your access to or use of the Platform;

(d) any charges, fees, or costs imposed on you by a Third-Party Service provider; or

(e) any cyberattack, hacking, data exfiltration, or other unauthorized activity attributable to a Third-Party Service.

9.4 Third-Party Content & Links

The Platform may contain links to third-party websites, resources, or content. Such links are provided for convenience only and do not constitute an endorsement, approval, or recommendation by Itmad Certification Services LLC of those third parties or their content. Itmad Certification Services LLC has no control over and assumes no responsibility for the content, terms, accuracy, or practices of any third-party website or resource. Your access to and use of third-party websites is entirely at your own risk and subject to the terms of those websites.

9.5 Third-Party Advertising

Where third-party advertising or sponsored content appears on the Platform, your interactions with advertisers or sponsors are exclusively between you and those parties. Itmad Certification Services LLC is not a party to, and bears no liability for, any transaction, representation, or obligation arising from your interaction with third-party advertisers.

9.6 Your Sole Risk

Your use of any Third-Party Service accessible through or in connection with the Platform is entirely at your own risk. Itmad Certification Services LLC provides access to Third-Party Services solely as a convenience and does not assume any liability arising from your use of, or reliance on, any Third-Party Service.

10. Intellectual Property

Itmad Certification Services LLC is a technology-enabled professional training and development platform that connects learners with structured, instructor-led, and self-paced educational content across a wide range of disciplines. Itmad Certification Services LLC maintains the highest standards of academic and legal integrity across all content published and distributed through its Platform.

Itmad Certification Services LLC respects the intellectual property rights of all parties — including content creators, course instructors, certification bodies, and third-party rights holders — and expects all users, instructors, and affiliated parties operating on or through the Platform to do the same. When instructors or content contributors submit material to the Platform, they expressly represent and warrant that they hold all necessary rights, licenses, consents, and permissions to publish and distribute that content.

All course materials, E-Certificates, and platform content remain the exclusive intellectual property of Itmad Certification Services LLC, and access to them may be revoked or deleted in accordance with our data retention policies.

Infringing activity of any kind is strictly prohibited on or through the Itmad Certification Services LLC Platform.

10.1 Ownership of Platform Content & Intellectual Property

All intellectual property rights in and to the Itmad Certification Services LLC Platform — including but not limited to its software, interface design, branding, logos, trademarks, trade names, domain names, course frameworks, proprietary methodologies, marketing materials, and any Platform-generated content — are and shall remain the exclusive property of Itmad Certification Services LLC or its duly licensed partners.

Nothing in these Terms or this Policy shall be construed as transferring any ownership right, title, or interest in Itmad Certification Services LLC’s intellectual property to any user, learner, instructor, or third party. The Itmad Certification Services LLC name, logo, and all associated marks are registered or common-law trademarks of Itmad Certification Services LLC. Unauthorized use of any Itmad Certification Services LLC trademark, trade dress, or branding in any manner that is likely to confuse, or that disparages or discredits Itmad Certification Services LLC, is strictly prohibited.

Certificates issued in partnership with or accredited by Exemplar Global or PECB are subject to the respective intellectual property terms, branding guidelines, and usage policies of those bodies. Any reproduction, alteration, or unauthorized display of Exemplar Global or PECB logos, marks, or certification insignia is governed by those organizations’ policies and may constitute a separate infringement of their rights.

10.2 Instructor Content & Representations

Instructors and content contributors who publish courses, materials, assessments, or any other content (“Instructor Content”) on the Itmad Certification Services LLC Platform represent, warrant, and agree that:

(a) they are the original creator of the Instructor Content or have obtained all necessary licenses, permissions, clearances, and consents required to publish, distribute, and sublicense such content through the Platform;

(b) The Instructor Content does not and will not infringe, misappropriate, or violate any copyright, trademark, patent, trade secret, moral right, right of publicity or privacy, or any other intellectual property or proprietary right of any third party;

(c) The Instructor Content does not contain any material that is unlawful, defamatory, obscene, or otherwise objectionable under applicable law;

(d) where the Instructor Content incorporates third-party materials — including images, audio, video clips, datasets, software, or written excerpts — the instructor has secured appropriate licenses or relies on a valid legal exception (such as fair use or fair dealing) for such use; and

(e) They will promptly notify Itmad Certification Services LLC upon becoming aware of any claim, allegation, or circumstance that may give rise to an intellectual property dispute in respect of their content.

Itmad Certification Services LLC does not, as a general practice, pre-screen or review Instructor Content for intellectual property compliance prior to publication. However, Itmad Certification Services LLC reserves the right — at its sole discretion — to review, suspend, remove, or reject any content that it reasonably believes may infringe third-party intellectual property rights.

10.3 Copyright Takedown Notices

Itmad Certification Services LLC’s policy is to remove or disable access to content that is reported as infringing in a valid copyright takedown notice submitted by the owner of the original work or their duly authorized agent. Itmad Certification Services LLC will act on all qualifying notices expeditiously and in accordance with applicable law.

It is further Itmad Certification Services LLC’s policy to suspend or permanently terminate the accounts of instructors or users who are determined to be repeat infringers — defined as any party against whom Itmad Certification Services LLC has received more than two (2) valid and substantiated copyright takedown notices. Itmad Certification Services LLC reserves the right to terminate any account at any time if the account holder has published content in violation of another party’s copyright, regardless of the number of prior notices received.

Before submitting a copyright takedown notice, please consider the following:

Authorization

Itmad Certification Services LLC can only process copyright takedown notices submitted by the copyright owner or a party expressly authorized to act on the copyright owner’s behalf. If you are not the rights holder, please contact the rights holder directly and refer them to this Policy.

False or Misleading Notices

Knowingly submitting a false, inaccurate, or misleading copyright takedown notice is a serious legal matter. Under applicable law you may be held personally liable for damages — including costs and legal fees — incurred by Itmad Certification Services LLC, the affected instructor, or other parties as a result of a wrongful takedown. Itmad Certification Services LLC expressly reserves the right to seek such damages.

Fair Use & Equivalent Doctrines

Copyright law in many jurisdictions recognizes exceptions to infringement for certain socially valuable uses of protected material. Before filing a notice, please assess whether the use of your material may qualify as fair use (or an equivalent doctrine in your jurisdiction). Factors relevant to this assessment include:

The purpose and nature of the use — including whether it is commercial or educational, and whether it transforms, comments upon, or parodies your original work;
The nature of the copyrighted work — whether it is factual or highly creative;
The amount and substantiality of the portion used relative to the whole work; and
The effect of the use on the potential market for or value of your original work.

Scope of Copyright Protection

Please note that copyright does not protect short phrases, titles, slogans, names, ideas, concepts, procedures, methods, or factual information. If your concern relates to unauthorized use of a name, logo, or phrase, please refer to the Trademark Takedown Notices section of this Policy.

10.4 How to File a Copyright Takedown Notice

To file a valid copyright takedown notice with Itmad Certification Services LLC, your written communication must include all of the following:

(a) Your identity and contact information — your full legal name, mailing address, email address, and (optionally) a telephone number. If you are filing on behalf of an organization, include the full legal name of the organization and your title or role within it;

(b) Identification of the original work — a clear and specific description of the copyrighted work you claim has been infringed, including a URL or other location where the original work can be viewed or verified (where applicable). Where a single notice covers multiple works, a representative list is acceptable;

(c) Identification of the infringing content — sufficient information to allow Itmad Certification Services LLC to locate the allegedly infringing content on the Platform, including the course title, instructor name, and direct URL to the relevant course or material;

(d) A statement of good faith belief — the following declaration, which you must include verbatim:

“I have a good faith belief that use of the material described above is not authorized by the copyright owner, its agent, or applicable law.”

(e) A statement of accuracy and authority — the following declaration, which you must include verbatim:

“I declare, under penalty of perjury, that the information contained in this notice is accurate and that I am the copyright owner or am duly authorized to act on behalf of the copyright owner.”

(f) Your signature — your physical or electronic signature (“/s/” followed by your full name).

Materially incomplete notices will not be actioned. Itmad Certification Services LLC reserves the right to request additional information to substantiate a claim before taking any removal action.

Please submit your notice to the Designated Contact identified in Section 10 of this Policy.

10.5 Counter-Notification Procedure

Upon receipt of a valid copyright takedown notice, Itmad Certification Services LLC will:

1. Remove or disable access to the reported content;

2. Notify the relevant instructor or content contributor that their content has been removed and the reason therefor; and

3. Provide the instructor with a copy of the takedown notice and the opportunity to submit a counter-notification.

If your content has been removed pursuant to a copyright takedown notice and you believe the removal was made in error — for example, because you have authorization from the rights holder or because the use qualifies as fair use — you may submit a counter-notification.

Important Warning

Submitting a false or misleading counter-notification is a serious legal matter. You may be held personally liable for damages, costs, and legal fees incurred by the original claimant and by Itmad Certification Services LLC as a result of a wrongful counter-notification. Itmad Certification Services LLC expressly reserves the right to seek such damages.

To be valid and actionable, a counter-notification must be submitted in writing and must include:

(a) your full legal name, mailing address, and email address or telephone number;

(b) identification of the content that was removed and the URL at which it appeared on the Platform immediately prior to removal (this information is included in the takedown notice we will have forwarded to you);

“I declare, under penalty of perjury, that I have a good faith belief that the content identified above was removed or disabled as a result of mistake or misidentification.”

(d) a statement confirming your consent to:

(i) Itmad Certification Services LLC disclosing your name and contact information to the original claimant;

(ii) receiving service of legal process from the claimant or their representative; and

(iii) the jurisdiction of the courts in your country of residence for any dispute arising from the counter-notification; and

(e) your physical or electronic signature.

Upon receipt of a valid counter-notification, Itmad Certification Services LLC will forward it to the original claimant. If the claimant does not initiate legal proceedings within ten (10) business days of receiving the counter-notification, Itmad Certification Services LLC may, at its discretion, restore the removed content.

10.6 Trademark Takedown Notices

Itmad Certification Services LLC’s policy is to investigate and, where appropriate, remove content from the Platform that is reported and substantiated as infringing a third party’s registered or common-law trademark. Trademark rights holders or their duly authorized representatives may submit trademark takedown notices to Itmad Certification Services LLC in accordance with the procedure set out below.

Itmad Certification Services LLC reserves the right to terminate the account of any instructor or user who is found to have published content in violation of a third party’s trademark rights.

Before submitting a trademark takedown notice, please consider the following:

Fair Use of Trademarks

Trademark law in most jurisdictions recognizes a fair use exception that permits reference to a trademarked name or brand in the course of factual description, commentary, criticism, or comparative advertising, provided such use does not create a likelihood of consumer confusion. Before filing a notice, consider whether the use of your mark on the Platform constitutes a permissible nominative or descriptive fair use.

Likelihood of Confusion

The central question in trademark infringement is whether the use of your mark is likely to cause consumers to believe that your organization created, endorsed, or sponsored the relevant content. If no such confusion is reasonably likely, a trademark takedown notice may not be appropriate.

False or Misleading Notices

Submitting a false or misleading trademark takedown notice may expose you to legal liability. Itmad Certification Services LLC reserves the right to seek damages from any party that submits a wrongful or bad-faith trademark infringement notice.

10.7 How to File a Trademark Takedown Notice

To file a valid trademark takedown notice with Itmad Certification Services LLC, your written communication must include all of the following:

(a) your full legal name, mailing address, and email address or telephone number;

(b) if filing on behalf of an organization, the full legal name of the organization and your title or role;

(d) the basis for your trademark rights, including any applicable registration number(s) and the country or jurisdiction of registration;

(e) the class(es) of goods or services for which the mark is registered or claimed;

(f) the precise location(s) on the Platform — including course title, instructor name, and direct URL — where your mark is alleged to appear without authorization;

(g) a description of how the use of your mark in the identified content constitutes infringement and, in particular, how it is likely to cause consumer confusion;

(h) if you are not the trademark owner, a clear statement of your relationship to and authorization from the owner;

(i) the following declaration, which you must include verbatim:

“I have a good faith belief that the use of the trademark described above is not authorized by the trademark owner, its agent, or applicable law.”

(j) the following declaration, which you must include verbatim:

“The information in this notice is accurate and I declare, under penalty of perjury, that I am the trademark owner or am duly authorized to act on behalf of the trademark owner.”

(k) your consent to Itmad Certification Services LLC sharing your name and contact information with the uploader of the reported content; and

(l) your physical or electronic signature (“/s/” followed by your full name).

Please note that a copy of your trademark notice will be shared with the instructor or user who posted the reported content.

10.8 Infringement of Your Itmad Certification Services LLC Content on Third-Party Platforms

Itmad Certification Services LLC recognizes that instructors and content contributors invest significant time, effort, and expertise in developing their courses and materials. Itmad Certification Services LLC takes the unauthorized reproduction, redistribution, or sale of its instructors’ content on third-party platforms seriously.

If you discover that your Itmad Certification Services LLC course or any portion thereof — including video lectures, course materials, assessments, or supplementary resources — has been made available on another platform or website without your authorization, please notify Itmad Certification Services LLC immediately by contacting the Designated Contact set out in Section 20 below, providing:

(a) your full name and the title of the affected course;

(b) the URL or platform where the infringing copy has been found;

(d) any supporting evidence, such as screenshots or links.

Itmad Certification Services LLC will review all reports in good faith and, where appropriate, take reasonable steps to assist in pursuing removal of the infringing content, including coordination with the relevant platform’s abuse or copyright team.

10.9 Repeat Infringer Policy

Itmad Certification Services LLC maintains a strict repeat infringer policy. Any instructor or user who receives more than two (2) valid and substantiated copyright or trademark takedown notices — whether relating to the same or different works — will be deemed a repeat infringer. Upon such determination, Itmad Certification Services LLC reserves the right, at its sole discretion, to:

Permanently suspend or terminate the repeat infringer’s account and access to the Platform;
Remove all content published by the repeat infringer from the Platform;
Withhold any outstanding earnings or entitlements pending investigation; and
Report the repeat infringer to relevant authorities or rights-holder bodies where required by law.

Itmad Certification Services LLC’s determination of repeat infringer status shall be final, subject only to a right of written appeal submitted to the Designated Contact within fourteen (14) calendar days of notification.

10.10 Designated Contact Information

All copyright takedown notices, trademark takedown notices, counter-notifications, and third-party infringement reports should be submitted to Itmad Certification Services LLC’s designated intellectual property contact given under section 20.

Itmad Certification Services LLC will acknowledge receipt of all valid notices within ten (10) business days and will endeavor to resolve substantiated matters within fifteen (15) business days, subject to the complexity of the claim and any pending counter-notification period.

This Policy should be read together with Itmad Certification Services LLC’s Terms & Conditions, Privacy Policy, all of which form part of the binding legal framework governing use of the Platform.

11. Generative AI Features

Where Itmad Certification Services LLC makes generative AI-powered features available on the Platform (“AI Features”), the following terms apply.

11.1 Input & Output Ownership

You retain ownership of any content you input into AI Features (“Input”). Itmad Certification Services LLC grants you a limited, non-transferable license to use AI-generated outputs (“Output”) for your personal, non-commercial, educational purposes only. You may not use Output to develop competing AI models or for any automated data extraction purpose.

11.2 No Model Training on Personal Data

Itmad Certification Services LLC does not use your personal data to train or fine-tune AI models without your explicit consent. If this practice changes, Itmad Certification Services LLC will provide advance notice and, where required, seek your consent or provide an opt-out mechanism.

11.3 AI Feature Restrictions

When using AI Features, you must not:

(a) submit personal, sensitive, or confidential information as Input; (b) represent AI-generated Output as being human-authored without disclosure; (c) use AI Features to deceive, mislead, harass, or harm any person; (d) use Output to make, or as a substantial factor in making, consequential decisions affecting legal, financial, medical, employment, or other material rights or interests; or (e) attempt to circumvent or bypass any restriction or safety measure of the AI Features.

11.4 AI Feature Disclaimers

AI Features are provided on an “as is” and “as available” basis. Itmad Certification Services LLC does not warrant that Output will be accurate, complete, suitable, or free from error. You are solely responsible for reviewing and verifying any Output before relying on it. Output may not be unique, and other users may receive identical or similar Output. Itmad Certification Services LLC reserves the right to modify, suspend, or discontinue AI Features at any time without notice or liability.

12. Limitation of Liability

12.1 Limitation of Liability

12.1.1 General Disclaimer of Liability

To the fullest extent permitted by applicable law, Itmad Certification Services LLC, its directors, officers, employees, affiliates, agents, licensors, and service providers (collectively, “Itmad Parties”) shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of revenue, loss of profits, loss of business opportunity, loss of data, loss of goodwill, or business interruption — arising out of or in connection with your access to or use of the Platform, howsoever caused and regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if Itmad Certification Services LLC has been advised of the possibility of such damages.

12.2 Platform Availability & Technical Failures

Itmad Certification Services LLC makes no warranty or representation, express or implied, that the Platform will be available without interruption, error-free, secure, or free of viruses or other harmful components. Itmad Certification Services LLC shall bear no liability for:

(a) any temporary or prolonged interruption, suspension, or discontinuation of the Platform or any feature thereof;

(b) technical errors, system failures, server downtime, or data transmission delays;

(c) unauthorized access to or alteration of your data resulting from circumstances beyond Itmad Certification Services LLC’s reasonable control; or

(d) any loss or damage arising from your reliance on the completeness, accuracy, or currency of any content published on the Platform.

12.3 Third-Party Services, Tools & Integrations

The Platform may integrate, embed, or otherwise interface with third-party services, software, tools, plugins, APIs, payment processors, communication platforms, analytics providers, cloud infrastructure providers, and other external systems (collectively, “Third-Party Services”). These Third-Party Services are operated, maintained, and controlled exclusively by their respective providers, and Itmad Certification Services LLC exercises no ownership, editorial control, or supervisory authority over them.

Itmad Certification Services LLC expressly disclaims all liability arising from or related to:

(a) Data Handling by Third Parties

Any collection, storage, processing, sharing, transfer, disclosure, breach, or misuse of your personal data or any other information by Third-Party Services. Each Third-Party Service’s own privacy policy and terms of service govern its data practices, and you are solely responsible for reviewing and accepting such terms prior to use.

(b) Service Performance

Any malfunction, unavailability, security breach, error, defect, or substandard performance of any Third-Party Service, including but not limited to payment gateways, video hosting platforms, learning management integrations, email service providers, and analytics tools.

Any content, information, products, or services made available through Third-Party Services, including any inaccuracies, omissions, or misleading representations contained therein.

(d) Unauthorized Actions

Any unauthorized access, cyberattack, hacking, data exfiltration, or misappropriation occurring within or attributable to a Third-Party Service’s infrastructure or systems.

(e) Changes to Third-Party Services

Any modification, suspension, discontinuation, or deprecation of a Third-Party Service that affects your access to or use of the Platform.

Your use of any Third-Party Service is entirely at your own risk. Itmad Certification Services LLC provides access to or links to Third-Party Services solely as a convenience and does not endorse, recommend, or assume responsibility for any such services. Any transactions, dealings, or correspondence entered into between you and any third-party provider are exclusively between you and that provider.

12.4 Certification Recognition & Academic Outcomes

Notwithstanding the foregoing, Itmad Certification Services LLC does not warrant, guarantee, or represent that:

(a) any certificate, credential, or qualification issued upon completion of a course or program — other than those expressly issued or co-badged under the authority of Exemplar Global or PECB — will be recognized, accepted, or accredited by any employer, educational institution, licensing body, professional association, regulatory authority, or other third party in any jurisdiction. The scope and validity of Exemplar Global and PECB recognition is governed exclusively by those bodies’ own policies, membership terms, and accreditation frameworks, which are subject to change without notice by those respective organizations and are outside Itmad Certification Services LLC’s control;

(b) Completion of any course or program — whether Exemplar Global-accredited, PECB-certified, or otherwise — will result in employment, career advancement, salary increase, admission to further education, or any other professional or personal outcome; or

(c) The knowledge, skills, or competencies acquired through the Platform will meet the requirements of any particular role, industry standard, or regulatory framework beyond the scope of the applicable Exemplar Global or PECB qualification criteria.

All certifications issued solely by Itmad Certification Services LLC (i.e., those not bearing Exemplar Global or PECB accreditation) represent successful completion of internal coursework only and carry no guarantee of external recognition or equivalency. Learners are solely responsible for verifying the applicability and acceptance of any credential — including Exemplar Global and PECB credentials — in their respective jurisdiction, profession, or regulatory environment prior to enrollment.

12.5 Aggregate Liability Cap

Notwithstanding any other provision of these Terms, Itmad Certification Services LLC’s total aggregate liability to you for all claims arising out of or relating to your use of the Platform — whether in contract, tort, or otherwise — shall not exceed the total amount paid by you to Itmad Certification Services LLC in the twelve (12) calendar months immediately preceding the event giving rise to the claim, or AED 100 (or equivalent in local currency), whichever is greater.

12.6 Force Majeure

Itmad Certification Services LLC shall not be held liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government action, internet or infrastructure failures, cyberattacks, or disruptions caused by Third-Party Services.

12.7 Indemnification

You agree to indemnify, defend, and hold harmless the Itmad Parties from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

(a) your use or misuse of the Platform;

(b) your violation of these Terms;

(d) any content you submit, post, or transmit through the Platform.

13. Disclaimers

The Platform and all Services are provided on an “as is” and “as available” basis, without warranty of any kind, express or implied. To the fullest extent permitted by Applicable Law, Itmad Certification Services LLC and the Itmad Parties expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

Itmad Certification Services LLC does not warrant that:

(a) the Platform will meet your specific requirements or expectations;

(b) the Platform will operate uninterrupted, timely, secure, or error-free;

(d) any content on the Platform is complete, current, accurate, or reliable; or

(e) you will achieve any particular learning outcome, qualification recognition, or professional result from use of the Services.

Nothing in these Terms shall exclude or limit any warranty, right, or remedy that cannot be excluded or limited under the laws of the United Arab Emirates.

14. Indemnification

You agree to fully indemnify, defend (if requested by Itmad Certification Services LLC), and hold harmless the Itmad Parties from and against any and all third-party claims, demands, actions, liabilities, losses, damages, judgments, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) any content you post, submit, or otherwise make available on or through the Platform;

(b) your access to or use of the Platform or Services;

(d) your violation of Applicable Law or any rights of a third party, including intellectual property rights, privacy rights, or consumer protection rights; or

(e) your conduct as an Instructor, including any claims made by Learners in connection with your content or coaching services.

Your indemnification obligations shall survive the termination or expiry of these Terms and your use of the Platform.

15. Privacy & Data Protection

Itmad Certification Services LLC is committed to protecting your personal data in accordance with the UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection (“UAE PDPL”) and any applicable data protection laws of the Emirate of Abu Dhabi.

The collection, use, storage, and disclosure of your personal data is governed by Itmad Certification Services LLC’s Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the processing of your personal data as described in the Privacy Policy.

Itmad Certification Services LLC implements appropriate technical and organizational measures to protect your personal data against unauthorized access, loss, or disclosure. However, no data transmission over the internet can be guaranteed to be fully secure, and Itmad Certification Services LLC does not warrant absolute security of your data.

Where the Platform integrates Third-Party Services that process your personal data, those processors operate under their own data protection policies. Itmad Certification Services LLC takes reasonable steps to engage third-party processors who maintain appropriate data protection standards, but does not accept liability for breaches attributable to those processors.

16. Governing Law & Jurisdiction

These Terms and any dispute, controversy, or claim arising out of or in connection with them — or their validity, formation, breach, or termination — shall be governed by and construed in accordance with the laws of the United Arab Emirates, with specific reference to the laws of the Emirate of Abu Dhabi, without regard to any conflict of law principles that would require the application of the law of another jurisdiction.

Subject to Section 17 (Dispute Resolution), the parties irrevocably submit to the exclusive jurisdiction of the competent courts of Abu Dhabi, United Arab Emirates for the resolution of any dispute arising under or in connection with these Terms.

17. Dispute Resolution

17.1 Good Faith Resolution

Itmad Certification Services LLC is committed to resolving disputes amicably and in good faith. In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or your use of the Platform, you agree to first contact Itmad Certification Services LLC in writing at the contact details set out in Section 20, clearly describing the nature of the dispute and the resolution you seek. Itmad Certification Services LLC will acknowledge receipt of your notice within five (5) business days and endeavor to resolve the matter within thirty (30) calendar days of receipt.

17.2 Mediation

If the dispute cannot be resolved through good faith negotiations within the thirty (30) day period, either party may refer the matter to formal mediation conducted under the auspices of the Abu Dhabi Conciliation and Arbitration Centre (ADCCAC) or such other mediation body as the parties may mutually agree. The cost of mediation shall be shared equally between the parties unless otherwise agreed.

17.3 Arbitration

If mediation fails to resolve the dispute within sixty (60) days of its referral, either party may refer the dispute to final and binding arbitration in accordance with the arbitration rules of the Abu Dhabi International Arbitration Centre (arbitrateAD). The arbitration shall be conducted in the English language, seated in Abu Dhabi, UAE, before a sole arbitrator agreed upon by the parties or, failing agreement, appointed in accordance with the applicable arbitration rules. The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction.

17.4 Individual Claims Only

All disputes shall be pursued on an individual basis only. You agree that you will not bring or participate in any class action, collective action, or representative proceeding against Itmad Certification Services LLC in any forum. This waiver applies to all disputes regardless of how they are characterized.

17.5 Emergency Relief

Nothing in this Section 17 shall prevent either party from seeking urgent injunctive or other emergency relief from a court of competent jurisdiction in Abu Dhabi where necessary to prevent imminent harm or irreparable injury.

18. Miscellaneous Legal Terms

18.1 Entire Agreement

These Terms, together with the Privacy Policy, Intellectual Property Policy, Refund Policy, and any other policies or agreements expressly incorporated herein, constitute the entire agreement between you and Itmad Certification Services LLC with respect to your use of the Platform and supersede all prior agreements, representations, and understandings, whether written or oral.

18.2 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from the Terms if modification is not possible. The remaining provisions shall continue in full force and effect.

18.3 Waiver

Itmad Certification Services LLC’s failure or delay in exercising any right, power, or remedy under these Terms shall not constitute a waiver of that right, power, or remedy. A single or partial exercise of any right shall not preclude any further exercise of that right or the exercise of any other right.

18.4 No Agency or Partnership

Nothing in these Terms creates or shall be construed to create any joint venture, partnership, employment, contractor, franchise, or agency relationship between you and Itmad Certification Services LLC. You have no authority to bind Itmad Certification Services LLC to any obligation.

18.5 No Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without Itmad Certification Services LLC’s prior written consent. Any purported assignment in violation of this provision shall be null and void. Itmad Certification Services LLC may freely assign or transfer its rights and obligations under these Terms to any affiliate, successor entity, or acquirer without your consent.

18.6 Survival

The following provisions shall survive the termination or expiry of these Terms for any reason: Sections 1 (Definitions), 8 (Rights to User Content), 10 (Intellectual Property), 12 (Limitation of Liability), 13 (Disclaimers), 14 (Indemnification), 16 (Governing Law), 17 (Dispute Resolution), and 18 (Miscellaneous Legal Terms).

18.7 Sanctions & Export Compliance

By using the Platform, you represent and warrant that you are not located in, ordinarily resident in, or a national of any country subject to applicable trade sanctions or export restrictions under UAE law or international law. You further warrant that you are not listed on any sanctions list maintained by the UAE, the United Nations, or other applicable authority. If you become subject to any such restriction during the term of your agreement with Itmad Certification Services LLC, you must notify Itmad Certification Services LLC within twenty-four (24) hours, and Itmad Certification Services LLC may terminate your access without further liability.

18.8 Language

These Terms are drafted in the English language. Where an Arabic translation is provided in accordance with UAE legal requirements, both versions shall carry legal effect; however, in the event of any conflict between the English and Arabic versions, the Arabic version shall prevail to the extent required by Applicable Law.

18.9 Legal Notices

All formal legal notices to Itmad Certification Services LLC must be submitted in writing and delivered by registered mail or recognized courier to the registered address set out in Section 20, or by email to the designated legal contact with delivery confirmation. Notices shall be deemed received on the date of confirmed delivery.

19. Amendments to These Terms

Itmad Certification Services LLC reserves the right to amend, update, or replace these Terms at any time and at its sole discretion. For material changes, we will make reasonable efforts to notify active Learners (e.g., via email or platform announcements).
